Dear Plan Participant,

As you may know, there are certain costs associated with operation of all employee benefit plans. The following charges associated with the UFCW Local 1776 and Participating Employers Retirement and Savings Plan appear on participants’ quarterly statements and are explained below. These charges are made against your Plan account balance.

$0.00 per quarter
This fee covers Prudential Financial's recordkeeping fees and account maintenance charges. This fee also covers the administrative cost of participants’ self-direction of investments.


Other Charges
This fee covers the estimated annual fees of the Plan’s investment consultant, the Fund’s office services, legal review, the Plan’s annual audit and printing and miscellaneous expenses necessary for the Board of Trustees to maintain the Plan in accordance with the Employee Retirement Income Security Act of 1974 and the Internal Revenue Code.

At the end of each year, participants’ accounts will be adjusted to reflect these costs based upon the respective values of each participant’s account. For the year ending December 31, 2006 these costs will be charged at the rate of $5.75 per participant for each of the first 3 quarters of 2006 and will be adjusted as of the end of the year based upon actual costs.

In addition, there are investment management and other fees which are charged against the assets of each mutual fund which is a part of the Plan’s investment alternatives, prior to determination of the respective fund’s net performance. These fees are disclosed in the individual prospectuses for the mutual funds. The amount of investment management fees varies depending upon the particular mutual fund.
